THE SELLER: All State Communications – Jared Gapinski and father James Gapinski started All State Communications in 1996. Known as “your low voltage systems specialists,”All State provides a full range of services that support voice and data network applications. Specific offerings include design, installation, and monitoring of all types of communications infrastructure, fire alarm, security, nurse call, wireless/wireless mesh, audio visual and sound solutions, etc.

All State Communications has been successful, working on high profile projects such as the Republican National Convention and for customers such as Fairview Health Systems and Minnesota State Colleges and Universities (MnSCU).

THE BUYER: Arvig Enterprises – Arvig, headquartered in Perham, Minnesota, was established in 1950 and now has over 500 employees. The company has made ten acquisitions in the past ten years. Arvig is a full-service telecommunications provider offering high speed Internet access, television, local telephone service, managed IT services, business telephone systems, security solutions, Verizon wireless phones and service, and more.

THE TRANSACTION – The shareholders, Jared and James Gapinski, began looking for retirement options for James. The shareholders decided that the time was right to gain a partner to both initiate James’ retirement and help take the business to the next level. The Gapinski’s decided to hire a Merger and Acquisition advisor. They chose Quazar as their M&A advisor because of Quazar’s experience, knowledge, and reputation.

Quazar approached and met with a variety of strategic buyers. As a buyer was sought, it was important to the seller that the acquirer would keep the organization in tact post-transaction. Ultimately, Arvig was selected as the best fit, as Arvig best met the needs and objectives of All State. Quazar advised All State on the negotiations and a deal was reached.

POST-TRANSACTION PLANS – All State Communications will operate as a wholly-owned subsidiary of Arvig Enterprises and the current leadership team and staff will remain in place. Jared Gapinski will continue on with All State as its President.
